Terms & Conditions

The rules for using the BPOCM website and the general conditions that apply when no more specific signed agreement controls.

Plain-Language Summary

These Terms & Conditions (“Terms”) govern use of the BPOCM website and general interactions that do not already have a separate signed agreement.

Important points:

  • using the website does not create a client relationship;
  • a Fit-Check Meeting is a mutual-fit conversation, not a free audit or paid Roadmap;
  • paid work begins only after an agreement and first payment;
  • signed agreements, statements of work, order forms, and checkout terms control the specific service or purchase;
  • BPOCM does not guarantee revenue, rankings, reviews, leads, sales, completion, automation uptime, AI accuracy, or other outcomes controlled by people or third parties;
  • clients must provide accurate information, lawful content, authorized access, approvals, and cooperation;
  • third-party platforms have their own terms and may change;
  • AI and automation require human review and responsible use;
  • the Refund Policy is part of these Terms.

1. Agreement to These Terms

These Terms form an agreement between the person or organization using the website (“you” or “your”) and BP Online Consulting & Management, LLC (“BPOCM,” “we,” “us,” or “our”).

By accessing or using https://bpocm.com , submitting a form, creating an account, purchasing a product, or using a service that refers to these Terms, you agree to these Terms.

If you do not agree, do not use the applicable website feature, product, or service.

2. Eligibility and Authority

You must be at least 18 years old or the age of legal majority in your jurisdiction to enter a purchase or service agreement with BPOCM.

If you act for a business or organization, you represent that you have authority to bind it.

Services or products involving minors require authorized adult, organizational, or parental involvement and separate terms where appropriate.

3. Website Information Is General

Website information is provided for general business and educational purposes.

Unless a signed agreement states otherwise, website information is not:

  • legal advice;
  • tax advice;
  • accounting advice;
  • investment or financial advice;
  • medical or mental-health advice;
  • cybersecurity certification;
  • accessibility certification;
  • a guarantee;
  • a professional opinion for a regulated decision.

You should consult qualified professionals for specialized advice.

4. No Client Relationship From Website Use

A client relationship does not begin merely because you:

  • visit the website;
  • read content;
  • submit a general contact form;
  • subscribe to communications;
  • request or attend a Fit-Check Meeting;
  • exchange preliminary messages;
  • receive general information.

A paid client relationship begins only when the applicable parties approve a written agreement or order, complete any required onboarding, and make the required initial payment.

5. Fit-Check Meetings

A Fit-Check Meeting is used to discuss:

  • the problem;
  • desired outcome;
  • current situation;
  • timeline;
  • budget;
  • decision-makers;
  • likely requirements;
  • whether BPOCM can realistically help;
  • whether both sides should continue.

A Fit-Check Meeting does not include a completed:

  • audit;
  • strategy;
  • Roadmap;
  • legal or compliance review;
  • technical diagnosis;
  • implementation plan;
  • design;
  • build;
  • campaign;
  • workflow;
  • course blueprint;
  • AI system;
  • deliverable.

BPOCM may decline an engagement or recommend another provider.

6. Contract Hierarchy

Client-specific services may be governed by:

  • a proposal;
  • master services agreement;
  • statement of work;
  • order form;
  • checkout page;
  • product-specific terms;
  • course or membership terms;
  • subscription disclosure;
  • data-processing addendum;
  • confidentiality agreement;
  • AI or automation addendum;
  • voice, likeness, avatar, or digital-twin release;
  • other written agreement.

If a signed or accepted client-specific agreement conflicts with these Terms, the client-specific agreement controls for that engagement, unless applicable law requires otherwise.

The Privacy Policy, Refund Policy, and Accessibility Statement are incorporated by reference where relevant.

7. BPOCM Services

BPOCM may provide consulting and Implementation Management across:

  1. Brand Strategy and Business Planning Consulting + Implementation Management
  2. Online Business Systems Consulting + Implementation Management
  3. Online Reputation Consulting + Implementation Management
  4. Marketing and Advertising Consulting + Implementation Management
  5. Sales and Customer Experience Consulting + Implementation Management
  6. Online Course and Information Products Consulting + Implementation Management
  7. Automation Consulting + Implementation Management
  8. AI Consulting + Implementation Management

The exact deliverables, responsibilities, exclusions, timeline, payment terms, acceptance criteria, revisions, and ongoing support are defined in the applicable agreement.

8. FRAMED Engagement Process

BPOCM generally uses the FRAMED process:

  • F — Fit-Check
  • R — Roadmap
  • A — Assign + Act
  • M — Manage + Monitor
  • E — Evaluate + Educate
  • D — Decide

The Fit-Check occurs before a paid Roadmap. Roadmap work begins only after mutual fit, an approved agreement, and initial payment.

9. Scope, Changes, and Implementation

Only work included in the written scope is included.

A request may require:

  • additional fees;
  • more time;
  • a new statement of work;
  • a change order;
  • another Roadmap;
  • another specialist;
  • third-party software or production costs.

BPOCM may perform selected work directly and may coordinate clients, employees, contractors, vendors, developers, platform specialists, attorneys, accountants, media producers, accessibility specialists, security professionals, or other contributors.

BPOCM does not manage the entire business unless a written agreement expressly says so.

10. Your Responsibilities

You agree to:

  • provide accurate and complete information;
  • identify authorized decision-makers;
  • provide timely access, content, approvals, and feedback;
  • maintain lawful rights to content, data, software, accounts, voice, image, likeness, and materials;
  • use secure methods for credentials;
  • maintain appropriate backups;
  • review deliverables and system behavior;
  • make business, legal, financial, compliance, and owner-level decisions;
  • comply with platform rules and law;
  • complete assigned work;
  • pay fees and third-party costs;
  • notify BPOCM of changes or errors that may affect the work.

Delays, rework, or added costs caused by missing information, unavailable access, changed decisions, late approvals, or third parties may affect the schedule and fees.

11. Accounts, Credentials, and Security

You are responsible for protecting account credentials and limiting access to authorized persons.

Do not send passwords, API keys, private tokens, complete payment-card information, or protected records through general contact forms or unsecured channels.

When possible, business accounts should remain owned by the client, with role-based access provided to BPOCM.

BPOCM may suspend work if access is insecure, unauthorized, or creates unreasonable risk.

12. Third-Party Platforms and Services

BPOCM services may depend on third-party:

  • hosting;
  • domain;
  • CRM;
  • forms;
  • calendars;
  • email;
  • SMS;
  • telephone;
  • payment;
  • advertising;
  • social;
  • course;
  • community;
  • automation;
  • AI;
  • search;
  • voice;
  • avatar;
  • video;
  • analytics;
  • development;
  • storage;
  • other providers.

Third parties may:

  • change features or prices;
  • limit or suspend accounts;
  • reject content;
  • change APIs;
  • experience outages;
  • change data practices;
  • discontinue services.

BPOCM is not responsible for third-party acts, omissions, outages, security incidents, policy decisions, or continued compatibility, except to the extent a signed agreement expressly assigns responsibility to BPOCM.

13. Service-Specific Limitations

Brand Strategy and Business Planning Strategy and planning do not guarantee business success, financing, market demand, or regulatory approval
Online Business Systems Systems do not guarantee uninterrupted operation, security, compatibility, or permanent vendor support
Online Reputation BPOCM cannot guarantee rankings, review removal, ratings, public sentiment, media coverage, or third-party platform decisions
Marketing and Advertising BPOCM cannot guarantee reach, leads, sales, revenue, rankings, conversion rate, cost per result, or return on ad spend
Sales and Customer Experience BPOCM cannot guarantee conversion, retention, satisfaction, renewal, referrals, or customer behavior
Online Course and Information Products BPOCM cannot guarantee enrollment, completion, income, employment, certification, accreditation, or learner outcomes
Automation BPOCM cannot guarantee perfect execution, zero errors, zero duplicates, permanent integration compatibility, savings, or elimination of human work
AI AI may be inaccurate or unpredictable; BPOCM cannot guarantee truth, accuracy, safety, savings, compliance, or autonomous performance

14. Automation

Automation should be used only when the process, data, eligibility, actions, timing, consent, stop rules, human review, errors, monitoring, and ownership are sufficiently defined.

You remain responsible for:

  • approving the underlying business process;
  • lawful communications;
  • consent;
  • message content;
  • data accuracy;
  • human review;
  • customer treatment;
  • monitoring;
  • decisions to continue using the automation.

BPOCM may recommend that a task remain manual or require human approval.

15. Artificial Intelligence

AI may be used for approved tasks involving:

  • retrieval;
  • research;
  • drafting;
  • classification;
  • extraction;
  • summarization;
  • analysis;
  • recommendations;
  • conversation;
  • tool use;
  • media generation.

15.1 AI Limitations

AI output may be:

  • inaccurate;
  • incomplete;
  • outdated;
  • biased;
  • inconsistent;
  • inappropriate;
  • unsupported;
  • similar to third-party content.

You must review output before relying on or publishing it.

15.2 High-Impact Decisions

AI should not make final legal, health, safety, employment, financial, credit, insurance, education, identity, or other high-impact decisions without qualified human review and any required legal process.

15.3 Tools and Actions

An AI assistant or agent may use tools only within approved functionality and permissions.

High-impact, irreversible, financial, identity-sensitive, relationship-critical, or low-confidence actions should require human approval.

15.4 Data and Knowledge

You represent that you have the right to provide AI inputs, files, data, voice, likeness, and knowledge.

Provider data settings, retention, storage, tools, and third-party services vary. Project-specific terms may identify approved providers and controls.

15.5 Digital Twins, Avatars, and Voice

A digital twin, avatar, synthetic voice, or likeness-based system requires appropriate authorization, disclosure, usage limits, and ownership.

You may not use BPOCM services to impersonate a person deceptively or use a person’s voice, image, or likeness without lawful permission.

16. Courses, Memberships, and Digital Products

Course, membership, and product terms may specify:

  • access period;
  • permitted users;
  • license;
  • downloads;
  • community rules;
  • support;
  • updates;
  • completion;
  • certificates;
  • recurring billing;
  • cancellation;
  • refund eligibility.

A certificate of completion does not imply accreditation, licensure, professional certification, employment qualification, or continuing-education credit unless expressly verified.

17. Intellectual Property

17.1 BPOCM Materials

BPOCM retains ownership of its pre-existing and independently developed:

  • methods;
  • frameworks;
  • prompts;
  • templates;
  • systems;
  • code;
  • documentation;
  • know-how;
  • processes;
  • libraries;
  • training material;
  • reusable components;
  • brand assets;
  • internal tools.

A client-specific agreement may grant a license to use selected BPOCM materials.

17.2 Client Materials

You retain ownership of materials you provide, subject to licenses needed for BPOCM to perform the work.

You grant BPOCM a limited license to access, copy, modify, process, transmit, and use client materials only as reasonably necessary for the approved service, documentation, testing, support, and legal obligations.

17.3 Deliverables

Ownership or license rights in deliverables are defined in the signed agreement.

Unless the agreement says otherwise, transfer or expanded license rights may be conditioned on full payment.

17.4 Third-Party Materials

Third-party software, stock assets, fonts, plugins, models, APIs, templates, music, video, voice, data, or other content remain subject to third-party terms.

17.5 Your Warranty

You represent that materials and instructions you provide do not unlawfully violate:

  • copyrights;
  • trademarks;
  • privacy;
  • publicity;
  • confidentiality;
  • contract rights;
  • platform rules;
  • other rights.

18. Feedback, Reviews, and Testimonials

You may share honest opinions about BPOCM’s services and conduct.

These Terms do not:

  • ban honest reviews;
  • impose a penalty for a negative review;
  • require transfer of intellectual-property rights in your review.

BPOCM may address content that is:

  • confidential;
  • private;
  • unlawful;
  • defamatory;
  • harassing;
  • threatening;
  • obscene;
  • unrelated;
  • clearly false or misleading.

Testimonials, endorsements, reviews, case studies, or portfolio use require appropriate truthfulness, permission, and disclosures.

19. Acceptable Use

You may not use the website, products, or services to:

  • violate law;
  • infringe rights;
  • send spam;
  • ignore opt-outs or do-not-contact requests;
  • commit fraud;
  • deceive or impersonate;
  • distribute malware;
  • gain unauthorized access;
  • interfere with systems;
  • scrape or harvest data unlawfully;
  • test security without authorization;
  • use unauthorized personal, confidential, biometric, voice, likeness, or protected information;
  • create fake reviews, credentials, evidence, or testimonials;
  • evade platform safeguards;
  • deploy unsafe or unreviewed automation or AI;
  • exploit or harm children;
  • engage in discrimination or unlawful high-impact decision-making.

BPOCM may suspend or terminate access for suspected misuse.

20. Fees, Billing, and Taxes

Fees, payment milestones, due dates, deposits, retainers, subscriptions, late charges, expenses, and third-party costs are stated in the applicable offer or agreement.

You authorize charges only as disclosed and accepted.

You are responsible for applicable taxes, except taxes imposed on BPOCM’s income.

Failure to pay may result in:

  • work pause;
  • access suspension;
  • withholding of deliverables or licenses;
  • collection activity;
  • termination;
  • other remedies permitted by agreement or law.

21. Recurring Services and Renewals

Before recurring billing begins, the applicable offer should disclose:

  • price;
  • billing frequency;
  • renewal;
  • trial or introductory terms;
  • cancellation method;
  • refund or proration rule;
  • material limitations.

By enrolling, you authorize recurring charges according to the disclosed terms until cancellation.

Cancellation applies prospectively unless the agreement, offer, or law says otherwise.

22. Refund Policy

The BPOCM Refund Policy at /refund is incorporated into these Terms.

A client-specific agreement, checkout term, or offer-specific guarantee may provide different terms and will control that purchase.

23. Suspension and Termination

BPOCM may suspend or terminate website, product, or service access for:

  • nonpayment;
  • misuse;
  • security risk;
  • unlawful conduct;
  • violation of these Terms;
  • failure to provide required access or cooperation;
  • risk to a person, client, platform, or system;
  • material breach;
  • third-party suspension;
  • other grounds stated in an agreement.

Termination does not eliminate accrued payment obligations, confidentiality, intellectual-property rights, or provisions intended to survive.

24. Disclaimers

To the maximum extent permitted by law:

  • the website and general content are provided “as is” and “as available”;
  • BPOCM disclaims implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement;
  • BPOCM does not guarantee uninterrupted or error-free access;
  • BPOCM does not guarantee that information is complete, current, or suitable for every purpose;
  • no statement creates a guarantee unless expressly stated in a signed agreement.

Some jurisdictions do not allow certain exclusions, so some language may not apply to you.

25. Limitation of Liability

To the maximum extent permitted by law, BPOCM will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, opportunity, or business interruption arising from the website, a product, or a service.

To the maximum extent permitted by law, BPOCM’s total liability arising from the event or series of related events will not exceed the amount paid to BPOCM for the specific product or service giving rise to the claim during the six months preceding the event.

These limitations do not apply where prohibited by law or to liability that cannot lawfully be limited.

26. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless BPOCM and its owners, personnel, and contractors from third-party claims, damages, liabilities, costs, and reasonable legal fees arising from:

  • your unlawful use;
  • materials or data you provide;
  • your violation of rights;
  • unauthorized instructions;
  • your products, services, claims, customers, or business practices;
  • your breach of these Terms or a client agreement.

This obligation does not apply to the extent a claim is caused by BPOCM’s conduct for which indemnification cannot lawfully be required.

27. Electronic Communications

You consent to receive agreements, notices, invoices, and transactional communications electronically where permitted.

Marketing consent is handled separately where required.

Electronic records and signatures may be used to the extent permitted by law.

27.1 BPOCM SMS Program

When you separately opt in to receive text messages, BP Online Consulting & Management, LLC may send the message categories identified at the point of consent.

Non-marketing messages may include responses to an inquiry, appointment confirmations and reminders, rescheduling or cancellation notices, service notifications, and customer-care updates. Marketing or promotional messages require a separate optional marketing consent.

Message frequency varies. Message and data rates may apply. Consent to marketing text messages is not a condition of purchase. Reply HELP for help and STOP to opt out. After a valid STOP request, BPOCM will stop further text messages unless you later complete a new valid opt-in or use a supported resubscription keyword. Mobile carriers are not liable for delayed or undelivered messages.

28. Governing Law and Venue

These Terms are governed by Missouri law, without regard to conflict-of-law rules, except where federal law or mandatory law applies.

Subject to applicable law and any controlling signed agreement, disputes shall be brought in the state courts located in Boone County, Missouri, or the United States District Court for the Western District of Missouri, as applicable.

29. Informal Dispute Notice

Before filing a formal claim, the parties should attempt in good faith to resolve the matter.

Send a written notice describing:

  • name and contact information;
  • relevant service or purchase;
  • facts;
  • requested resolution;
  • supporting records.

Send the notice to Admin@BPOCM.com with the subject Legal Notice and by mail to the address below.

This process does not prevent a person from seeking urgent relief, exercising nonwaivable rights, filing a regulator complaint, or meeting a legal deadline.

30. Force Majeure

BPOCM is not responsible for delay or failure caused by events beyond reasonable control, including:

  • natural disaster;
  • severe weather;
  • war;
  • terrorism;
  • civil unrest;
  • labor disruption;
  • utility or internet failure;
  • cyberattack;
  • government action;
  • public-health emergency;
  • platform outage;
  • provider termination;
  • other similar events.

Payment for work already performed and noncancelable commitments remains due unless law or agreement requires otherwise.

31. Assignment

You may not assign an agreement without BPOCM’s written consent, except where law prohibits restriction.

BPOCM may assign these Terms in connection with a business transfer, reorganization, or sale.

32. Severability, Waiver, and Entire Agreement

If a provision is unenforceable, the remaining provisions remain effective to the extent permitted.

Failure to enforce a provision is not a waiver.

These Terms and incorporated policies form the general website agreement. Client-specific documents form the complete agreement for the applicable service or purchase.

33. Changes

BPOCM may update these Terms for legal, operational, service, or technology changes.

The updated page will show a new date. Material changes may receive additional notice where appropriate.

Continued use after the effective date constitutes acceptance where permitted. Changes do not retroactively alter a signed agreement unless that agreement permits it.
